Clients include:Leading global alternative asset managers and financial institutionsIndependent boutiques and first-time fund sponsorsA wide range of institutional investors, including sovereign wealth funds, family offices, pension funds, and corporatesThe team provides full-service support in areas such as:Private fund formation and structuringLiquidity solutions and secondariesInvestment management and regulatory counselStrategic general partner (GP) advisoryKey Responsibilities:Advise on all aspects of fund formation, including structure, governance, investor terms, and regulatory considerationsDraft and negotiate a wide range of fund documentation (e.g. limited partnership agreements, private placement memoranda, side letters, management agreements)Work on co-investment and carried interest arrangements, including bespoke incentive schemesLiaise with tax, regulatory, and transactional teams across jurisdictionsTake responsibility for client-facing workstreams and support senior lawyers on large-scale, multi-billion-dollar fundraisingsWhat they''re looking for:Qualified solicitor (England and Wales or common law jurisdiction)2–6 years’ post-qualification experience at a top-tier law firm or in-house in private funds or investment managementStrong technical understanding of private fund structures and key regulatory frameworks (e.g., AIFMD, SEC, CFTC)Exceptional drafting skills and commercial judgementA collaborative, proactive mindset with a strong sense of ownershipInterest in developing a long-term career in a fast-paced, international private funds practiceIf interested in discussing this role, or a broader discussion around the market, please apply or email me at chinello@rutherfordsearch.com for more details. ..... full job details .....
