Senior Legal Counsel - Group MandA and Corporate Legal at Standard Chartered provides legal support and advice to stakeholders across the Group for the Group’s own account corporate and MandA transactions, projects and matters, including acquisitions, divestments, joint ventures, corporate projects and equity investments that affect Group structure; corporate development and cross-functional deal / project teams; and Group restructuring and corporate actions (including share buybacks and changes to group structure).Responsibilities
Participate in all aspects of the transaction process including due diligence, structuring, negotiating and completing the transaction.Negotiate and manage NDA, Exclusivity Letters, Offer Letters, Engagement Letters, etc.Instruct and manage external counsel on MandA transactions; manage legal due diligence; negotiate the Sale and Purchase Agreement and other transactional documents; manage the legal process to completion.People and Talent
Promote a culture of good conduct and adherence to legal standards within the Group.Key Responsibilities
Risk Management: ensure that corporate projects and initiatives have the necessary legal and regulatory clearance; liaising with business teams, other functions and with Legal and Compliance to ensure alignment with Group standards; anticipate, identify, mitigate, monitor and report legal risks in line with the risk management framework.Governance: establish strong relationships with key stakeholders; work with businesses, functions and Legal to identify process enhancements and efficiency improvements in legal operations and service delivery.Regulatory and Business Conduct
Display exemplary conduct and live by the Group’s Values and Code of Conduct; embed the highest standards of ethics and regulatory compliance; effectively identify, escalate, mitigate and resolve risk, conduct and compliance matters.Key Stakeholders
Corporate Development; Specialist Due Diligence and Integration teams; Group Functions including Corporate Secretariat, Group Treasury, Group Tax, Group Finance, Risk, Group Corporate Affairs; Legal and Compliance teams – group, business and country.Qualifications
Must be a qualified lawyer (solicitor, attorney or barrister) with 4+ years’ post-qualification experience.Detailed knowledge of corporate and MandA law and practice; international (preferably emerging markets) experience of structuring and executing mergers and acquisitions, disposals, joint ventures and other corporate transactions; understanding of risk management techniques; exemplary integrity and resilience; ability to establish relationships at senior levels.About Standard Chartered
