About the RoleWe are seeking a
Company Secretarial Analyst
to join our Global Capital Markets team in London. This role provides company secretarial and governance support to a diverse portfolio of client companies, including those involved in loan portfolios, asset-backed securities, real estate transactions, and restructuring.
You will work closely with the Company Secretarial Managers and report to the Team Leader, supporting the smooth running of client entities and transactions while ensuring high standards of compliance and governance.
Key ResponsibilitiesCompany Secretarial ServicesAssist Managers in delivering company secretarial services, ensuring all statutory and legal obligations are met.Manage Companies House filings, incorporations, and drafting of constitutional documents.Organise and attend client board, investor, and committee meetings, preparing board packs and drafting minutes.Support the governance and legal standing of client entities throughout their lifecycle.
Transaction ManagementAssist with a portfolio of companies across structured finance, private credit, restructuring, and real estate financing.Liaise with clients, intermediaries, and internal teams to support ongoing transactions.Draft service agreements, fee letters, and other documents.Complete bank account opening forms and KYC requirements.Ensure timely and accurate processing of internal procedures and database updates.
Business Development and Client ServiceAttend legal and industry training sessions to build expertise.Deliver a high standard of client service through clear and professional communication.Maintain client files to a high standard of accuracy and compliance.
Compliance and AdministrationSupport periodic reviews of client files to ensure ongoing compliance.Monitor transactions to ensure regulatory obligations (e.g. Market Abuse Regulations) are met.Assist with invoicing, time recording, and general administrative duties.
Your profileDegree or Master’s in Law, ideally with a focus on Company Law or Corporate Governance.Qualified or Part-Qualified CGI (Chartered Governance Institute), or actively pursuing a career as a Company Secretary.Strong organisational and time management skills.High attention to detail and accuracy.Confident communicator, professional and approachable.Self-motivated, adaptable, and proactive in a fast-paced environment.Proficient in Microsoft Word, Excel, and ..... full job details .....
